Ms. Amber Liu has been a corporate and international business lawyer for more than ten years, with extensive experience in both international and corporate legal matters.  Before starting her own practice, Ms. Liu worked with medium-large sized international law firms in China and the U.S.  Her practice includes cross-border investments, joint ventures, mergers and acquisitions, project finance, licensing, start-up, commercial contracting, corporate governance and general corporate matters.  She has assisted a broad range of businesses from small startups to multinational corporations and non-profit organizations in various aspects of legal issues and business matters.  

Amber Liu 律师从事公司法及国际商务十多年,在相关业务领域具有丰富经验,独立执业前曾在中国和美国的大中型国际律师事务所长期工作,主要业务范围包括跨境投资、合资、并购、融资、许可、创业、商务合同、公司治理以及日常法务等,协助包括初创公司、跨国企业和非营利机构在内的各行业客户处理相关法律事务。

Ms. Liu was a co-founder of an e-commerce startup.  She also worked with NGOs, gave speeches in Chinese universities and published articles against illegal international timber trade and spent a month working and living with a Papua New Guinea tribe in 2006.  Her pro bono work in PNG was made into a documentary film and reported in the Chinese media.  She also worked as a volunteer in New Orleans for one week in 2009 to help rebuild communities, promote clean energy and support grassroots efforts for improving infrastructure.


Ms. Liu earned an LL.B. from Peking University Law School in 1999 and an LL.M. in International and Comparative Law from IIT Chicago-Kent College of Law with honors in 2008.  She has been admitted to practice law in China, New York and Illinois.

  • Drafting, reviewing and negotiating international commercial contracts in a variety of industries; advising clients on international dispute resolution strategies and process.

  • Assisting clients with cross-border investments and M&As in China or the U.S.; advising on establishing, operating and selling overseas entities and related issues.

  • Assisting international clients with China-related issues; advising Chinese companies on US operations and related lease, employment and immigration issues; overseeing collaborative work relationships with local law firms and other professional service organizations.

  • Drafting, reviewing and negotiating general business contracts, including: loan, security and guaranty agreements; licensing agreements; shareholder agreements; operating agreements; executive and other employment and employment-related agreements, etc.

  • Assisting start-up companies and early-stage startup corporate finance; review and drafting key agreements for investors.
